Memorandum of agreement
Between Messrs......... hereinafter called the Buyers, and Messrs......... hereinafter called the Sellers.
The sellers agree to sell to the buyers and the buyers agree to buy from the sellers all bunker coals required at the ports and at the prices named within, for the use of all the steamers of which the buyers are managing owners or time chartered except any which shall be let out on time charter or otherwise bound by charter.
Payment to be in cash; or by honour of captain's draft in sterling on owners at thirty days sight payable in London. In the event of failure without due cause to honour any draft for coal or other necessaries, this and any similar contracts in force between the sellers and buyers as principals or agents shall be subject to cancelment by sellers.
Should general current price for bunker supplies be lower on date of delivery the buyers are to have the benefit of the reduction in supplies taken at that date.
In the event of the supply of any coal under this contract being prevented by the Act of God, war, disturbances, strikes, lockouts, stoppage of labour from whatever cause, pestilence, epidemical sickness, earthquakes, fires, storms, ice, floods, failure on the part of railways to supply wagons detention by railways or other hindrance beyond the control of sellers, they shall not be bound to deliver such coal nor shall they be held responsible for their inability to do so.
Notwithstanding anything to the contrary herein contained in the event of the sellers from any cause whatsoever failing to promptly supply any coal required, the buyer, his captain or other agent may obtain such coal elsewhere without prejudice to his rights under this agreement.
When Welsh coal is mentioned it means South Wales coal only.
Should any conditions contrary to the above be incorporated within, the conditions contained above shall prevail.
This agreement comes into force on date, and is binding until......
